Terms and conditions

  1. The incorporation package fee must be paid in full by the client before the commencement of service to incorporate a Singapore private limited company.
  2. The incorporation package fee must be paid in full either in cash or via internet banking (i.e. FAST or PayNow). Upon receipt confirmation of full payment
    from the client and all the required documents are complete, verified and signed, incorporation of company will be processed and submitted to ACRA on the same working day.
  3. Due to processing time for clearance of cheques, we DO NOT accept cheques.
  4. It is mandatory to have at least one (1) Singapore Citizen or Singapore Permanent Resident (P.R.) to fulfil the requirement of a resident director as required by the Singapore Companies Act.
  5. Basic Starter is for one (1) local director and one (1) local individual shareholder at the point of incorporation. Additional administrative fee of S$80 per local director or S$80 per local individual shareholder or S$80 per secretary will be charged on top of the package fee for companies with more than one (1) local director or individual shareholder. Corporate shareholder will be charged at S$160 per corporate shareholder. Foreigner director or shareholder will be charged separately at $100 per foreigner. Due diligence/Background checks charges apply.
  6. Value Starter and Optimise Starter are for maximum two (2) local directors and two (2) local individual shareholders at the point of incorporation. Additional administrative fee of S$80 per local director or S$80 per local individual shareholder will be charged on top of the package fee for companies with more than two (2) local directors or individual shareholders. Corporate shareholder will be charged at S$160 per corporate shareholder. Foreigner director or shareholder will be charged separately at $100 per foreigner. Due diligence/Background checks charges apply.
  7. Please note that approval of company name and incorporation of the company are subject to ACRA’s approval. We endeavour our best to incorporate all companies within one hour or less. Any delay due to Bizfile’s technical issues or ACRA’s reference to relevant authorities are circumstances beyond our control and we shall bear no responsibilities on such delay.
  8. Reservation of company name is valid for 60 days from the date of approval. If for any reason, the incorporation is not submitted to ACRA within 60 days from the date of approval, the process of the incorporation will be terminated and there will be an administrative fee of S$300 deducted from the incorporation package signed up by the client.
  9. Termination of services: If for any reason, the client decides to terminate the incorporation package after payment; or if the client does not wish to complete all the required and necessary procedures on due diligence of the client, we reserve the rights to terminate the service without notice, and there will be an administrative fee of S$300 deducted from incorporation package signed up by the client.
  10. The liability of Freeincorp in any event shall not exceed S$300.

Important Information on Registration of a Company

When registering a company, you should prepare some information beforehand to make the process as smooth as possible.

Company Name
  • Your proposed company name must be approved by ACRA (Accounting and Corporate Regulatory Authority) before commencing the incorporation process.
Director(s)
  • The directors must fulfill the following requirements:
    • At least one ordinarily resident in Singapore (i.e. Singapore Citizen, a Singaporean Permanent Resident or a person who has been issued an Entrepreneur Pass, Employment Pass or Dependent Pass by Ministry of Manpower who is deemed qualified to act as a director).
    • At least 18 years of age and who is otherwise of full legal capacity.
    • Not an undischarged bankrupt (unless he gets permission from the High Court or the Official Assignee);
    • Not under disqualification orders made by the Court;
    • Not convicted of specified offences or offences involving fraud or dishonesty punishable with imprisonment for three months or more. (The disqualification is for five years from the date of conviction of the relevant offence, or, where the person has been sent to prison, from the date of release).
  • No maximum limit on the number of local or foreign directors.
  • No requirement for a director to own shares in the company.
Shareholder(s)
  • Minimum of 1 to maximum of 50 shareholders.
  • Can be the same person as the director.
  • Can be a natural person or legal corporate entity or trust.
  • Can be 100% local or foreign owned.
  • New shares can be issued or existing shares can be transferred to another person or legal entity at any point of time after the company is incorporated.
Appointment of Company Secretary
  • Company Secretary must be appointed within 6 months from the date of its incorporation to comply with Section 171 of the Singapore Companies Act (Chapter 50).
  • A sole director cannot be the Company Secretary.
  • Company Secretary must be a resident in Singapore.
Share Capital
  • Minimum share capital is SGD1.00
  • Paid-up or share capital can be increased at any point of time after the company is incorporated.
Registered Office Address
  • Must be a local Singapore address and need not be the usual business address.
  • Must be a physical private residential or commercial address.
  • No P.O. Box address is allowed.
